Premises Use & Trading Consent

This Partner Premises Trading and Operational Agreement is entered into between No Rules JC Ltd (company number 16179828) whose authorised representative is Shahla Shayesteh (the Company) and the legal owner of the premises identified below (the Premises Owner). This Agreement constitutes the entire agreement governing the non exclusive permission granted to the Company to operate from and in connection with the Premises for the coordination, organisation, temporary holding, storage, and handover of customer orders and associated items to authorised delivery drivers in connection with third party ordering and delivery platforms. This Agreement is drafted in a dense commercial format consistent with partner premises agreements used by national delivery and distribution networks operating across the United Kingdom. The Premises Owner acknowledges that consistent operational standards, brand protection, audit cooperation, and risk allocation are essential to the Company’s business model and agrees that this Agreement allocates responsibility accordingly. IMPORTANT The Premises Owner is only required to complete and sign the boxed below. All other provisions apply automatically and uniformly.

Owner permission & premises authorisation

I hereby confirm that I grant No Rules JC Ltd full permission to operate from and trade in connection with my premises for the purposes of storage, preparation, handover, and dispatch of customer orders, including but not limited to orders placed via third-party delivery platforms. This permission includes allowing authorised staff members of No Rules JC Ltd to coordinate order handover and collection from this premises by approved delivery drivers. This permission is granted with my full knowledge and consent and remains valid unless withdrawn by written notice.

Terms & Conditions

1. Definitions and Interpretation In this Agreement, unless the context otherwise requires: Company means No Rules JC Ltd. Premises Owner means the legal owner of the business operating from the Premises. Premises means the trading location identified: Order means any customer order coordinated by the Company through third party platforms or Company channels. Items means all products, packaging, components, and materials associated with an Order. Verification Code includes QR codes, barcodes, order references, collection confirmations, or similar mechanisms. Authorised Staff means employees, agents, or contractors authorised by either party. Including means including without limitation. Headings do not affect interpretation. Singular includes plural. References to writing include electronic communications. References to legislation include amendments and re enactments. 2. Appointment and Relationship The Premises Owner grants the Company a non exclusive, revocable permission to operate from and in connection with the Premises. Nothing in this Agreement creates a partnership, agency, franchise, or employment relationship. The Premises Owner acts as an independent business and has no authority to bind the Company. 3. Scope of Authorised Activities.The Company may use the Premises as an operational point for the organisation, temporary holding, storage, and handover of Orders and Items. Activities may include presentation of Verification Codes and interaction with delivery drivers. The Premises Owner acknowledges that these activities may occur during normal trading hours. 4. Operational Standards: Orders and Items must be handled with reasonable care and stored securely and separately. The Premises Owner shall ensure Authorised Staff are trained and follow Company instructions. Updates to instructions take effect upon notice. 5. Verification and Handover Orders shall only be released upon successful verification of the applicable Verification Code. The Premises Owner shall refuse release where verification fails. The Company is not responsible for platform or driver delays. 6. Security, Loss, and Missing Items. All Orders and Items remain at the risk of the Premises Owner while in the care or control of the Premises. Any loss, damage, misrelease, or disappearance shall be the responsibility of the Premises Owner, who shall reimburse the Company for the full value together with associated costs.7. Records and Audit The Premises Owner shall cooperate with audits, investigations, and platform enquiries and provide records or staff statements when required. 8. Code of Conduct and Brand Representation The Premises Owner acknowledges that staff may be perceived as representatives of the Company’s brand. All Authorised Staff must act respectfully and professionally. Aggressive or inappropriate behaviour constitutes a material breach and may result in immediate suspension or termination. 9. Branding and Window Display The Premises Owner shall provide visible window or entrance space for Company branding. Branding remains the property of the Company and must not be altered or removed without consent. 10. Storage Capacity The Premises Owner shall maintain sufficient secure storage capacity for additional Orders or Items placed at the Premises. Where capacity is insufficient, the Company may suspend placement until remedied. The Premises Owner remains responsible for all stored Items. 11. Handling Fee and Payment Conditions Subject to compliance with this Agreement, the Company shall pay the Premises Owner one pound and fifty pence (£1.50) per box or bag successfully handed to an authorised delivery driver. Payment is made every fortnight with a condition precedent and is strictly contingent upon the Premises Owner marking the task as completed within the partner application designated by the Company. Where a task is not marked as completed, no payment shall be due regardless of physical handover. Either party may terminate this Agreement for any reason by giving not less than thirty days written notice. The Company may suspend immediately for compliance, safety, or misuse. Accrued rights survive termination. 14. Step In Rights Where the Company reasonably determines a failure that risks customer harm, platform penalties, or reputational damage, the Company may step in to direct operations without assuming liability and recover associated costs.15. Indemnities The Premises Owner shall indemnify the Company against all losses, claims, fines, penalties, and costs arising from breach, missing Items, staff conduct, or platform issues attributable to the Premises.16. Set Off The Company may set off any sums owed by the Premises Owner against any amounts payable. 17. Limitation of Liability Nothing excludes liability that cannot be excluded by law. Subject to this, the Company shall not be liable for indirect or consequential losses and total liability shall not exceed the value of the affected Order. 18. Confidentiality and Data Protection Each party shall keep confidential non public information and comply with data protection laws. 19. Entire Agreement and Variation This Agreement constitutes the entire agreement. Variations must be agreed in writing by the Company.

When You Are Paid:

Payments made every 14 days

Only completed handovers qualify for payment

How Completion Is Confirmed:

Items must be handed over to the delivery driver

The task must be marked “Completed” in the partner app after handover

If the task is not marked completed in the partner app, payment will not be made
